Acquisitions and mergers: negotiated and contested transactions
This resource provides comprehensive coverage of the aspects of the acquisition or merger process. This set includes sample forms and documents such as tender offer and proxy context documents; shareholder rights, plans, and proposals; negotiated acquisition documents; New York and Delaware merger agreements; and SEC forms and schedules. It also includes information on acquisition of initial interests, the role of the board of directors, negotiated acquisition transactions, leveraged buyouts, regulatory concerns, and acquisitions by foreign companies.
